Terms of Service

These Terms of Service and Seller Agreement (together, the "Terms") form a binding agreement between you ("you," "Seller," or "User") and YK Global LLC, a Wyoming limited liability company doing business as PurpleTurret ("PurpleTurret," "we," "us," or "our"), governing your access to and use of the PurpleTurret platform, software, websites, APIs, and related services (the "Services").
Please read these Terms carefully. By creating a PurpleTurret account, clicking "I agree" (or similar), or otherwise accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" and "Seller" refer to that entity.
If you do not agree to these Terms, do not use the Services.
These Terms include the Privacy Policy, the Acceptable Use & Restricted Businesses Policy in Section 11, and any additional policies, schedules, or order forms we make available and reference here.
1. What PurpleTurret Is — And What It Is Not
1.1 The Services
PurpleTurret provides software-as-a-service that lets Sellers create simple checkout pages and embeddable checkout experiences for their own websites, funnels, sales pages, and offer pages. Payment processing for transactions initiated through the Services is performed by Stripe, Inc. ("Stripe") through Stripe Connect Express. The Services include the user interface, checkout-page creation tools, product/offer configuration, Stripe Connect Express connection flow, software logic that creates checkout sessions and payment intents through Stripe, and a basic order/admin dashboard.
1.2 PurpleTurret Is a Software Provider Only
PurpleTurret is not:
- the seller, merchant, retailer, reseller, or distributor of your products or services;
- the merchant of record for transactions initiated through the Services;
- a marketplace operator, marketplace facilitator, or deemed supplier;
- a payment processor, payment facilitator, payment service provider, money transmitter, money services business, bank, e-money issuer, or wallet provider;
- an escrow agent, custodian, or holder of buyer or seller funds;
- a tax agent, tax remitter, VAT intermediary, GST collector, sales-tax remitter, or marketplace tax collector for your transactions;
- a provider of legal, tax, accounting, financial, payment-processing, or compliance advice; or
- a party to the sales contract between you and your Buyer, except as a technology provider.
You — the Seller — are the seller and merchant of record for every transaction you initiate using the Services. You are solely responsible for your products and services, your relationships with Buyers, and your legal, tax, regulatory, and contractual obligations.
1.3 Stripe Processes Payments
Payments are processed by Stripe under Stripe's own agreements with you and us, including the Stripe Connected Account Agreement, the Stripe Services Agreement, and any other applicable Stripe terms (together, the "Stripe Agreements"). Stripe — not PurpleTurret — performs payment processing, settlement, payment-method handling, KYC/KYB verification, fraud screening, sanctions screening, chargeback handling, payouts, and related compliance functions. You must accept and comply with the Stripe Agreements as a condition of using the Services.
2. Definitions
Capitalized terms not defined inline have the following meanings:
- "Buyer" means an end customer who purchases or attempts to purchase Seller Products through a Checkout Experience.
- "Checkout Experience" means a checkout page, embedded checkout, payment form, or purchase flow created by a Seller using the Services.
- "Connected Account" means a Seller's Stripe Connect Express account used to receive payments and payouts in connection with the Services.
- "Platform Fees" means the fees we charge Sellers for use of the Services, as described in Section 6.
- "Seller Products" means goods, services, digital products, subscriptions, memberships, downloads, coaching, courses, or other offerings that a Seller offers for sale through a Checkout Experience.
- "Transaction" means a payment, refund, dispute, chargeback, or related event initiated through a Checkout Experience and processed by Stripe.
3. Eligibility and Account Registration
3.1 Eligibility
You may use the Services only if you are at least 18 years old (or the age of majority in your jurisdiction), have full legal capacity to enter into these Terms, and are not barred from using the Services under applicable law, the Stripe Agreements, or any prior PurpleTurret action. The Services are intended for business use by Sellers operating a lawful business.
3.2 Accurate Information
You agree to provide accurate, current, and complete information when registering an account and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at support@purpleturret.com of any unauthorized use.
3.3 One Account per Seller
Unless we expressly authorize otherwise, you may maintain only one PurpleTurret account per legal entity. We may suspend or terminate duplicate or related accounts.
4. Connecting Stripe; Payment Processing
4.1 Stripe Connect Express Required
To accept payments through the Services, you must create and maintain a Stripe Connected Account through Stripe Connect Express, complete Stripe's onboarding (including identity verification, KYC/KYB, and any additional information Stripe requires), and accept the Stripe Agreements. You authorize us to share information with Stripe and to create checkout sessions, payment intents, and related payment objects on your behalf through the Stripe API.
4.2 Direct Charges; You Receive Buyer Funds
By default, payments from Buyers are processed as direct charges on your Connected Account. Buyer funds settle to your Connected Account and are paid out by Stripe to your designated payout destination under the Stripe Agreements. PurpleTurret does not receive gross buyer proceeds, does not custody Buyer or Seller funds, and does not control payout timing, amount, or destination.
4.3 Application Fees
You authorize PurpleTurret to collect Platform Fees through Stripe-supported application-fee mechanisms, subscription billing for the Services, invoice, deduction from amounts otherwise owed to you, or other lawful means we make available. Application fees are described further in Section 6.
4.4 Stripe Determines Account Status
Stripe — not PurpleTurret — determines whether to approve, restrict, suspend, or terminate your Connected Account. Stripe also controls payment capabilities, reserves, holds, payout schedules, dispute outcomes, and risk-based actions on your Connected Account. We may receive information from Stripe about account status, payments, capabilities, requirements, risk, disputes, refunds, payouts, and compliance, and we may use that information to operate the Services and enforce these Terms.
4.5 No Guarantees Regarding Stripe
We do not guarantee that Stripe will approve or maintain your Connected Account, accept any payment, support any payment method, fund any payout, or resolve any dispute in your favor. If Stripe restricts, suspends, or terminates your Connected Account or any capability, we may disable or limit your access to checkout functionality until the issue is resolved.
4.6 No Custody, No Stored Value, No Escrow
PurpleTurret does not provide and does not operate:
- wallets, stored balances, gift cards, prepaid access, e-money, or buyer credits;
- escrow services, pooled accounts, or trust accounts holding Buyer or Seller funds;
- money transmission, remittance, or payment-aggregation services; or
- any feature that allows us to receive, hold, or manually release Buyer funds outside Stripe-approved mechanisms.
All movement of Buyer funds occurs through Stripe and your Connected Account, subject to the Stripe Agreements.
5. Seller Responsibilities
5.1 Seller as Merchant / Seller of Record
You are the seller and merchant of record for every Seller Product you sell through the Services. You are solely responsible for:
- the existence, legality, quality, safety, and lawful provision of Seller Products;
- product and service descriptions, claims, warranties, guarantees, testimonials, and marketing copy;
- prices, currencies, discounts, promotions, shipping, delivery, and fulfillment;
- consumer disclosures, terms of sale, and offer terms;
- refunds, cancellations, returns, exchanges, and chargeback responses;
- customer support, complaint handling, and communications with Buyers;
- licenses, permits, registrations, certifications, and regulatory approvals required for Seller Products;
- invoices, receipts, tax invoices, VAT invoices, and any other documents required by law; and
- compliance with all laws applicable to your business, your Seller Products, and your Buyers.
5.2 Seller's Representations and Warranties
You represent and warrant on a continuing basis that:
- you have all rights, licenses, registrations, approvals, and authority to sell Seller Products and to enter into these Terms;
- each Seller Product and each Checkout Experience complies with all applicable laws and the Stripe Agreements;
- all information you provide to us and to Stripe is accurate, current, and not misleading;
- your marketing claims are truthful, substantiated, and not deceptive, and you will not use fake testimonials, deceptive scarcity, hidden subscriptions, dark patterns, or unlawful claims;
- you will comply with consumer-protection, advertising, subscription, cancellation, refund, privacy, tax, export, sanctions, and industry-specific laws applicable to your business; and
- you will not use the Services in any manner that violates the Acceptable Use & Restricted Businesses Policy in Section 11.
5.3 Buyer-Facing Disclosures
You agree to clearly identify yourself as the seller on each Checkout Experience and to display the disclosures we require, including:
- your legal or display name;
- your support contact (email or URL);
- your refund and cancellation policy;
- product/service description, price, currency, and (if applicable) recurring billing terms;
- fulfillment/delivery timing;
- a notice that payments are processed by Stripe and that PurpleTurret provides checkout software; and
- a link to your privacy notice and any other legally required notices.
We may, in our discretion, render some of these disclosures automatically on Checkout Experiences, and you may not remove or obscure required disclosures.
6. Platform Fees and Billing
6.1 Fees
You agree to pay the Platform Fees applicable to your plan or usage of the Services, as posted on our website or set out in an order form, plan page, or written agreement. We may change Platform Fees prospectively on notice; continued use of the Services after the change takes effect constitutes acceptance.
6.2 Authorization to Collect
You authorize us to collect Platform Fees through any combination of: (a) Stripe application fees taken from your Connected Account; (b) subscription billing charged to a payment method you provide for our Services; (c) invoicing; (d) deduction from amounts otherwise owed to you; or (e) any other lawful method we make available.
6.3 Taxes on Our Fees
Platform Fees are exclusive of any taxes on our Services. Where required by law, we may charge or include applicable taxes on Platform Fees. Platform Fees are entirely separate from your tax obligations on Seller Products (Section 7).
6.4 Nonpayment
If you fail to pay any Platform Fee when due, we may suspend, downgrade, or terminate your access to the Services, charge a late fee or interest where lawful, and pursue collection. You will reimburse us for reasonable costs of collection, including attorneys' fees, where lawful.
6.5 No Refunds of Platform Fees
Except where required by law or expressly stated in writing, Platform Fees are non-refundable.
7. Taxes (VAT, GST, Sales Tax, and Other Transaction Taxes)
This Section is important. Read it carefully.
You are solely responsible for all taxes arising from or related to Seller Products and your Transactions, including sales tax, use tax, value-added tax (VAT), goods and services tax (GST), digital-services taxes, excise taxes, withholding taxes, duties, levies, and similar amounts (collectively, "Transaction Taxes").
PurpleTurret does not act as your tax agent, marketplace facilitator, deemed supplier, VAT intermediary, GST collector, or tax remitter. PurpleTurret does not calculate, collect, report, file, or remit Transaction Taxes on your behalf unless we expressly offer a separate, counsel-approved tax feature under separate written terms that you have accepted.
You are responsible for:
- determining whether and where you have a tax-collection or tax-registration obligation, including nexus, permanent establishment, place-of-supply, OSS/IOSS, reverse-charge, and registration-threshold determinations;
- determining the taxability of each Seller Product;
- calculating, collecting, displaying, reporting, filing, and remitting all Transaction Taxes;
- issuing tax invoices, VAT invoices, and other tax documents your Buyers and tax authorities require;
- handling exemptions, resale certificates, and refunds of Transaction Taxes; and
- complying with all tax laws applicable to your business.
Any tax-related fields, reports, integrations, calculations, labels, or exports that the Services may provide are tooling only, are provided for convenience, and do not constitute tax, legal, or accounting advice. Consult your own tax advisor.
You agree to indemnify PurpleTurret for any Transaction Taxes (and related interest, penalties, fines, audits, and costs) assessed against PurpleTurret as a result of, or related to, Seller Products or your Transactions, as further described in Section 16.
8. Subscriptions, Trials, and Recurring Billing
If the Services support recurring billing for your Seller Products, you agree to comply with all laws applicable to recurring charges, automatic renewals, free trials, and negative-option offers, including (where applicable) the U.S. Restore Online Shoppers' Confidence Act, the FTC Negative Option Rule and "Click to Cancel" guidance, California's automatic-renewal law, and analogous state and non-U.S. requirements.
You must, at minimum:
- clearly and conspicuously disclose, before purchase, the recurring price, billing frequency, renewal terms, cancellation method, any free-trial conversion date and post-trial price, any minimum commitment, the refund policy, and your support contact;
- obtain express affirmative consent for recurring billing;
- provide easy online cancellation when online signup is used;
- honor cancellations promptly; and
- send (or permit us or Stripe to send on your behalf) any receipts, confirmations, renewal notices, trial-ending notices, fee-change notices, and cancellation confirmations required by law.
We may require Sellers to use templates, locked fields, or other product-enforced disclosures for subscription Checkout Experiences. We may disable, suspend, or remove any Checkout Experience that we believe presents non-compliant subscription, trial, or negative-option terms. We may log consent and disclosure evidence and use it to operate the Services and enforce these Terms.
9. Refunds, Disputes, Chargebacks, and Negative Balances
9.1 Your Refund Policy
You set and own your refund and cancellation policy, subject to applicable law, card-network rules, the Stripe Agreements, and our risk controls.
9.2 You Bear the Risk
Except to the extent the Stripe Agreements allocate responsibility differently, you are responsible for: refunds, returns, cancellations, chargebacks, disputes, dispute fees, fines, penalties, network assessments, negative balances, and losses arising from or related to Seller Products and your Transactions.
9.3 Dispute Cooperation
You agree to respond promptly to dispute and chargeback evidence requests, to cooperate with us, Stripe, banks, card networks, and regulators, and to provide accurate evidence of order, fulfillment, communication, and refund history.
9.4 Risk Controls
We may, in our discretion: suspend or remove Checkout Experiences; restrict subscriptions or high-ticket offers; require additional information, evidence of fulfillment, or substantiation of claims; or terminate your account, where we observe excessive refunds, chargebacks, disputes, fraud, failed fulfillment, Buyer complaints, restricted-business activity, or Stripe risk signals.
9.5 Recovery of Amounts Owed
You authorize us to recover any amounts you owe us (including refunded Platform Fees, chargeback-related fees, indemnified losses, or unpaid Platform Fees) through any combination of: deduction from amounts otherwise payable to you; charge to a payment method on file; Stripe-supported setoff; invoicing; or lawful collection.
9.6 No Platform-Funded Buyer Remedies
PurpleTurret does not issue platform-funded refunds, store credits, gift cards, or stored-value credits to Buyers. We are not a guarantor of your obligations to Buyers.
10. Privacy and Data
10.1 Privacy Policy
Our collection and use of personal information in connection with the Services is described in our Privacy Policy.
10.2 Roles
You are an independent controller (or business, as defined under applicable privacy law) with respect to personal information about your Buyers that you collect, control, or process for your own purposes — including for customer relationship, fulfillment, tax records, marketing, and support. PurpleTurret acts as your processor (or service provider/contractor, as applicable) for Buyer personal information that we process on your behalf to provide checkout and order functionality, and as an independent controller with respect to information we process for account administration, billing, security, fraud and risk monitoring, legal compliance, and service improvement.
10.3 Your Obligations to Buyers
You are responsible for: (a) providing your Buyers with any privacy notices required by law and your obligations; (b) establishing and maintaining a lawful basis (where applicable) for collecting and processing Buyer personal information through Checkout Experiences; (c) honoring privacy rights requests from your Buyers; and (d) complying with all applicable data-protection, privacy, marketing-consent, and cookie laws (including, as applicable, GDPR, UK GDPR, CCPA/CPRA, and ePrivacy/cookie rules).
10.4 Data Processing Terms
If you are subject to GDPR, UK GDPR, CCPA/CPRA, or analogous laws, our Data Processing Terms (made available on request or at /legal/dpa) apply to our processing of Buyer personal information on your behalf and form part of these Terms.
10.5 No Raw Card Data
PurpleTurret does not collect, store, or process raw card numbers or CVVs. Payment-card information is collected and processed by Stripe under Stripe's PCI-DSS-compliant infrastructure.
11. Acceptable Use & Restricted Businesses
11.1 Compliance with Stripe
Your use of the Services must comply with the Stripe Agreements, including Stripe's Restricted Businesses list. A category permitted by Stripe is not automatically permitted on PurpleTurret. Our restrictions are at least as strict as Stripe's and may be stricter.
11.2 Prohibited Uses
You will not use the Services to sell, promote, process payments for, or distribute any of the following without our prior, express, written approval (which we may grant, deny, or condition in our sole discretion):
- any business or activity on Stripe's restricted or prohibited list;
- any product or service that is illegal in any jurisdiction relevant to the Transaction (including the Buyer's location, your location, and any required transit jurisdiction);
- transactions with sanctioned persons, sanctioned jurisdictions, or in violation of export controls or OFAC requirements;
- fraud, deception, impersonation, phishing, malware, card testing, or unauthorized access to systems or data;
- counterfeit, gray-market, or intellectual-property-infringing goods, or pirated digital goods;
- fake reviews or testimonials, fabricated scarcity, fabricated authority, or misleading income, earnings, health, financial, legal, or performance claims;
- get-rich-quick offers, guaranteed-income offers, investment, trading, forex, crypto, NFT, signals, or "funded account" offers;
- gambling, lotteries, raffles, sweepstakes, or fantasy sports with prizes;
- adult sexual content or services, escort services, or AI-generated adult sexual content;
- supplements, nutraceuticals, medical devices, or medical/health cure claims without preapproval;
- debt relief, credit repair, tax relief, immigration claims, or unlicensed financial, legal, or fiduciary services;
- telemarketing, robocalling, SMS marketing without proper consent, or lead resale without proper consent;
- offers that include hidden, deceptive, or non-compliant negative-option, free-trial, or auto-renewal terms;
- products targeted at minors or that knowingly collect children's personal information; or
- offers we reasonably consider high-chargeback, deceptive, or otherwise harmful to Buyers, payment networks, Stripe, or PurpleTurret.
11.3 Operational Restrictions
You will not, and will not allow any third party to:
- access or use the Services in violation of these Terms, the Stripe Agreements, or applicable law;
- circumvent or attempt to circumvent any rate limits, security measures, capability gates, geographic restrictions, or content restrictions in the Services;
- reverse engineer, decompile, or disassemble any part of the Services except to the extent applicable law expressly permits;
- introduce viruses, malware, or harmful code into the Services;
- use the Services to send spam or unsolicited communications;
- scrape, harvest, or otherwise collect data from the Services other than your own data; or
- resell, sublicense, or provide the Services as a service to third parties without our prior written consent.
11.4 Our Discretion
We may, in our sole discretion, preapprove, reject, monitor, suspend, restrict, or terminate any Seller, Seller Product, Checkout Experience, or category. We are not obligated to give reasons.
12. Review, Monitoring, Suspension, and Termination
12.1 Our Review Rights
We may, at any time and in our discretion, review your account, onboarding information, offer pages, Checkout Experiences, Seller Products, marketing materials, support practices, refund policies, transaction activity, and communications, and we may request additional information, licenses, evidence of fulfillment, claim substantiation, tax information, or compliance documentation.
12.2 Suspension and Restriction
We may, in our discretion and with or without notice, disable, suspend, restrict, or terminate your access to all or part of the Services; disable specific Checkout Experiences, embeds, or payment functionality; remove content; pause onboarding; or restrict features (such as subscriptions or high-ticket offers), where we reasonably believe doing so is necessary or appropriate to address risk, legal, Stripe, AUP, tax, privacy, consumer-protection, security, or reputational concerns, or where required by law or Stripe.
12.3 Termination by You
You may terminate these Terms by closing your account through the in-product flow or by written notice to support@purpleturret.com. Termination does not relieve you of obligations accrued before termination, including payment of Platform Fees, indemnity obligations, refund and dispute responsibilities, and tax obligations.
12.4 Termination by Us
We may terminate these Terms or your account at any time, for any reason or no reason, with or without notice, including for breach of these Terms, breach of the AUP, breach of the Stripe Agreements, risk or compliance concerns, or our discontinuation of the Services.
12.5 Effect of Termination
On termination, your right to access and use the Services ends. The following Sections survive termination: 1.2, 5, 6.4, 6.5, 7, 9, 10, 13, 14, 15, 16, 17, and any other provision that by its nature should survive.
12.6 Cooperation with Stripe and Authorities
We may cooperate with Stripe, payment networks, banks, regulators, law enforcement, tax authorities, and affected Buyers, and may share information with them, as we believe appropriate or as required by law.
13. Intellectual Property; Content License
13.1 Our IP
The Services, including all software, code, designs, templates, logos, trademarks, and content provided by us, are owned by PurpleTurret or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license during the term of these Terms to access and use the Services solely as authorized here. No other rights are granted.
13.2 Your Content
You retain ownership of content you submit to or display through the Services, including product information, images, marketing copy, and Checkout Experience content ("Seller Content"). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, transmit, format, adapt, and use Seller Content as needed to provide and operate the Services and to enforce these Terms.
13.3 Your Warranties
You represent and warrant that you have all rights necessary to grant the license in Section 13.2 and that Seller Content does not infringe or violate any third-party rights or applicable law. We may remove or refuse to display content we believe infringes or violates any law or these Terms.
13.4 Feedback
If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction.
14. Third-Party Services
The Services integrate with third-party services, including Stripe. Your use of those third-party services is governed by the third party's own terms. We are not responsible for third-party services and do not warrant their availability, accuracy, or performance.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Without limiting the foregoing, we do not warrant or guarantee:
- that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components;
- any level of sales, revenue, conversion, payout, or business performance;
- that Stripe (or any other third party) will approve, maintain, or fund your Connected Account or any Transaction;
- the timing, amount, or availability of any payout;
- the legality of any Seller Product or Checkout Experience;
- your compliance with any law, tax obligation, or Stripe requirement; or
- the accuracy, completeness, or reliability of any information generated by the Services, including reports, dashboards, tax fields, or analytics.
Nothing in the Services constitutes legal, tax, accounting, financial, payment-processing, or compliance advice.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) No Indirect Damages. Neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.
(b) Liability Cap. Our total aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of (i) the total Platform Fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US$100).
(c) Excluded Matters. No liability arises on our part for: refunds, chargebacks, disputes, fines, penalties, or losses on Transactions; Transaction Taxes; acts, omissions, or decisions of Stripe, banks, card networks, regulators, or other third parties; your or your Buyers' compliance with law; or any matter outside our reasonable control.
(d) Basis of the Bargain. These limitations are a fundamental basis of the bargain between you and us and apply regardless of the legal theory (contract, tort, statute, or otherwise) and even if a limited remedy fails of its essential purpose.
(e) Carve-Outs. Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the foregoing limitations apply to the maximum extent permitted by law. Nothing in these Terms limits liability for fraud or for any liability that cannot be limited by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless PurpleTurret, YK Global LLC, and our affiliates, officers, directors, employees, contractors, and agents (the "Indemnitees") from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, fines, penalties, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Seller Products, Checkout Experiences, your Transactions, your refund/cancellation handling, your subscriptions, or any act or omission of yours, your personnel, or your contractors;
- Transaction Taxes related to Seller Products or your Transactions, and any failure to determine, collect, report, file, or remit them;
- your breach of these Terms, the AUP, your representations and warranties, or any applicable law (including consumer-protection, advertising, subscription, privacy, intellectual-property, export, sanctions, and tax laws);
- your relationships and dealings with your Buyers, including refunds, complaints, chargebacks, disputes, and consumer claims;
- your collection, use, sharing, or handling of personal information, including any privacy or data-protection claim by a Buyer or regulator;
- your Seller Content, including any claim that it infringes or violates third-party rights; and
- your use of Stripe and your relationship with Stripe.
We may assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate as reasonably requested. You will not settle any matter affecting an Indemnitee without our prior written consent.
18. Changes to the Services and These Terms
We may change the Services at any time, including by adding, modifying, or discontinuing features. We may modify these Terms by posting the updated Terms on our website and updating the "Last Updated" date. Material changes will be communicated by reasonable means (in-product notice, email, or both) before they take effect. Your continued use of the Services after the effective date of the changes constitutes your acceptance. If you do not agree to the changes, your sole remedy is to stop using the Services and close your account.
19. Governing Law; Disputes
19.1 Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles, and, where applicable, the laws of the United States. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19.2 Informal Resolution
Before filing any formal claim, you agree to contact us in good faith at support@purpleturret.com and attempt to resolve the dispute informally for at least sixty (60) days.
19.3 Binding Arbitration; Class Waiver

19.4 Time Limit
Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred, except where applicable law prohibits this limitation.
20. General
20.1 Entire Agreement
These Terms, together with the Privacy Policy, the AUP in Section 11, any Data Processing Terms, and any order forms or written agreements between us, constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous communications.
20.2 No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
20.3 Severability
If any provision is found unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted.
20.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.
20.5 Notices
We may give you notice by in-product notification, email to the address on file, or posting on our website. You may give us notice at support@purpleturret.com or by mail to YK Global LLC, 1021 E Lincolnway, Suite 6574, Cheyenne, Wyoming 82001, United States.
20.6 Force Majeure
Neither party is liable for failures or delays due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, third-party service outages (including Stripe), pandemic, or natural disaster.
20.7 Relationship of the Parties
These Terms do not create any agency, partnership, joint venture, employment, or fiduciary relationship. Neither party may bind the other.
20.8 No Third-Party Beneficiaries
Except for the Indemnitees in Section 17, these Terms do not confer any rights or remedies on any third party.
20.9 Export and Sanctions
You represent that you, your beneficial owners, and your Buyers are not located in, organized under the laws of, or ordinarily resident in a country or territory that is the subject of comprehensive U.S. sanctions, and are not on any U.S. or other applicable sanctions list. You will comply with all applicable export-control and sanctions laws.
20.10 Headings; Interpretation
Headings are for convenience only. "Including" means "including without limitation." References to a party include its permitted successors and assigns.
